OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN CONNECTION WITH THE TRANSACTION GIVING RISE TO SUCH LIABILITY, OR $100 IF NO AMOUNT WAS PAID. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
You agree to indemnify and defend us from any third-party claims arising out of your use of our Services or your violation of this User Agreement.
ANY CLAIM MUST BE COMMENCED WITHIN ONE YEAR AFTER THE DATE ON WHICH SUCH CLAIM ACCRUED OR BE FOREVER BARRED. You and AscentLogic agree that any Claim shall be resolved exclusively through final and binding arbitration in Portland, Oregon, and you waive any right to a jury trial. YOU MAY OPT-OUT of this agreement to arbitrate by mailing us a written opt-out notice within 30 days of accepting this agreement.
This User Agreement constitutes the entire agreement between you and AscentLogic. If any provision is found to be unenforceable, the remaining provisions will continue in full force and effect.
